These terms and conditions ("Terms", "Agreement") are an agreement between Moogle Infotech ("Company", "us", "we", or "our") and you ("User", "you", "your"). This Agreement sets forth the general terms and conditions of your use of the software development services and any related products and services (collectively, "Services") offered by Moogle Infotech.
1.1. The Company agrees to provide software development services as outlined in the project proposal or agreement signed by both parties.
1.2. The scope of work, timeline, and deliverables will be agreed upon in writing before the commencement of any work.
2.1. Payment terms will be specified in the project proposal or agreement.
2.2. The Company reserves the right to suspend work or terminate the agreement in case of non-payment or delayed payment.
3.1. All intellectual property rights, including copyright, patents, and trade secrets, developed as part of the Services shall belong to the Client upon full payment.
3.2. The Company retains the right to use general knowledge, skills, and experience gained during the project for other purposes.
4.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project.
4.2. Confidentiality obligations shall survive termination of this Agreement.
5.1. The Company warrants that the Services will be performed in a professional manner consistent with industry standards.
5.2. The Company does not warrant that the Services will be error-free or uninterrupted.
6.1. In no event shall the Company be liable for any indirect, incidental, special, or consequential damages.
6.2. The total liability of the Company, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client under this Agreement.
7.1. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement.
7.2. Upon termination, the Client shall pay for all Services performed up to the date of termination.
8.1. This Agreement shall be governed by and construed in accordance with the laws of India.
9.1. The Company reserves the right to modify these terms and conditions at any time.
9.2. Any changes to the terms and conditions will be communicated to the Client in writing.
10.1. This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements and understandings.
By using our Services, you agree to be bound by these Terms and Conditions. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access our Services.
